ABOUT YOUR ROLE

This is a 12-month fixed-term contract with a preferred start date of 1 February 2027. The Senior Legal Counsel (Mat leave cover) will report to the General Counsel and be a senior member of a high-performing Legal Team with ownership and responsibility for Commercial Contracts (SAAS and other services agreements); Employment; Data and tech matters across the Harrison.ai http://Harrison.ai group. There will also be ad-hoc Corporate and Corporate Governance (including Cosec and Audit and Risk Committee) duties and potential M&A activity. This role would be best suited to a strong technical lawyer who gives pragmatic and commercial advice, and who is comfortable operating in a fast-paced and constantly evolving environment (Slack and AI native) including with the use of contract management systems (like Lawvu). This is a terrific opportunity for a driven individual to join a high-growth and industry-leading start-up, where the Legal function is central to the development and growth of the business.

WHAT YOU DO:

•Commercial Contracting + Tech

Be the go-to for commercial related matters across the organisation on a range of matters, including:

•Provide commercial advice on SAAS arrangements and related issues (including deployment, SLAs etc) on a global basis (Europe, UK, Australia, NZ, Asia, Middle East, USA);

•Advise on, prepare and negotiate SAAS enterprise agreements, reseller, referral, distributor and platform agreements (on Harrison Template and third-party paper);

•Familiarity with public government tenders for SAAS and SAMD products – global; and

•General, Corporate and Corporate Governance

•Support the General Counsel across all strategic, stakeholder (e.g., Board) or BAU matters that may not necessarily relate to Commercial contracting, tech or privacy, as required from time to time;

•Support any potential corporate M&A activity;

•Help develop and implement procedures, systems, policies and frameworks appropriate to support the company’s next stage of growth; and

•Manage and work effectively with external legal advisers (if needed).

WHAT YOU BRING:

•10+ PQE with relevant experience at an international top-tier law firm (corporate M&A and or Commercial / TMT groups preferred) and/or strong relevant in-house experience (preference for Global startup /scale up cultures), global experience;

•Subject matter expert in SAAS and associated commercial contracting with AI/tech sector focus - global;

•Familiarity with public government tenders - global

•Current legal practising certificate in NSW;

•Self-driven team player who takes initiative and ownership of matters + management of more junior members;

•Experience in fast-paced and dynamic industries (technology, AI);

•Experience with contract management systems (Like Lawvu or similar);

•Excellent commercial judgment and communication skills including with fast paced global commercial sales teams; and

•Strong problem-solving capability – thinking beyond legal technicalities and viewing problems holistically.
